<h2><b>The <span>Opportunity:</span></b></h2><p style="text-align:inherit"></p><p>Avantor is looking for an <b>Associate Counsel </b>to serve as a member of the technology and information security legal team. The Associate Counsel, Technology is a pragmatic and business-oriented counsel who supports legal matters related to cloud technology, digital platforms and SAAS transactions. This role will support licensing and technology vendor agreements across Avantor's enterprise. You will work closely with IT, Privacy, Sourcing and Sales teams to effectively enable the use of technology.</p><p></p><p><i>Remote position</i></p><p></p><p><b>What we're looking for</b></p><ul><li><p>Minimum 5 - 10 years applicable professional experience in a law firm or corporate legal department with demonstrated experience and expertise.</p></li><li><p>Experience handling multiple matters at the same time and meeting quick turnaround deadlines.</p></li><li><p>Ability to translate technical concepts into practical legal guidance for cross-functional teams.</p></li><li><p>Demonstrates excellent judgment.</p></li><li><p>Demonstrates ability to collaborate.</p></li><li><p>Initiates, embraces and drives change in a dynamic environment.</p></li><li><p>Works well independently and in a team.</p></li><li><p>Experience providing timely and strategic legal advice.</p></li><li><p>Experience with Microsoft Office Suite including Word, Excel, Access and PowerPoint</p></li></ul><p></p><p><b>Education:</b></p><ul><li><p>JD required from an accredited law school</p></li><li><p>Admitted to practice law and in good standing with the bar of at least one US State or the District of Columbia.</p></li><li><p>Meets local legal license requirements.</p></li></ul><p></p><p><b>How you will thrive and create an impact</b>  </p><ul><li><p>Works independently to draft, review, and revise agreements, including form agreements for routine sales activities, as well as non-standard agreements for customers, supplier, distributor, clinical, service and consulting agreements.</p></li><li><p>Learn Avantor contracting policies and analyze draft contracts in accordance with policies </p></li><li><p>Work with Sourcing, Sales and the IT team to advise on the review of complex IT vendor agreements and digital product contracting efforts.</p></li><li><p>Develop and support the development of playbooks and templates for consistent legal review across IT, security engagements and technology agreements.</p></li><li><p>Assist with the review of data processing agreements.</p></li><li><p>Ensure alignment with IT and business strategies.</p></li><li><p>Determine when complex legal and factual issues must be escalated to senior attorneys and assist in resolution of issues</p></li><li><p>Assist in creating, implementing and managing systems that enable the efficient creation, negotiation, oversight and ultimately execution of Avantor’s agreements</p></li><li><p>Coordinate contract negotiation with multiple cross-departmental functions</p></li><li><p>Obtain all appropriate and necessary internal approvals for contract terms and provisions</p></li><li><p>Identify opportunities for process improvements</p></li><li><p>Perform file management and records retention duties</p></li><li><p>Give and welcome constructive feedback; contribute to building a positive team spirit</p></li><li><p>Requires advanced abilities for contract negotiation</p></li><li><p>Requires ability to communicate with Senior Leadership across the firm regarding legal risks and advise on possible solutions based on expertise</p></li><li><p>Provide assistance and guidance to Contracts Specialists within department</p></li><li><p>Perform other duties as assigned</p></li></ul><h2></h2><h2><b><span><span>Disclaimer:</span></span></b></h2><p><span><span><span>The above statements are intended to describe the general nature and level of work being performed by employees assigned to this classification.
