Our Debt Finance Practice specializes in advising clients on all aspects of debt-related transactions and financial structuring. We provide legal expertise to borrowers, lenders and other financial institutions on a wide range of financing matters, including syndicated loans, leveraged buyouts, refinancing and structured finance. Our team assists clients in negotiating and drafting loan agreements, security documents and other related contracts, ensuring compliance with regulatory requirements and managing potential risks. By leveraging our extensive knowledge of global financial markets and regulations, our Debt Finance Practice helps clients secure favorable financing terms and navigate complex financial landscapes, ultimately supporting their strategic financial goals and operational needs.<br><br><strong>Position Summary<br><br></strong>We are looking for strong mid-level and senior associates with substantive experience managing and negotiating debt finance transactions to join our Americas Banking practice. You should have strong academic credentials and a genuine interest in domestic and cross-border financing transactions,. You should also be ambitious and enthusiastic about work, ready for the challenges of working in a global law firm, service-minded with strong interpersonal skills and able to work in a team environment. You should also enjoy developing junior talent; mentoring and training are very important to the debt finance team.<br><br>As an associate, you will have the opportunity to work with all the finance partners and with teams based in other offices and thereby gain diverse experience in multi-jurisdictional transactions across a wide range of industries.<br><br>We offer high-quality, internationally-oriented work on the most challenging bank finance and capital markets transactions, a competitive market salary package and an opportunity to work as part of a truly global organization.<br><br><strong>Duties And Accountabilities<br><br></strong><ul><li>Drafting, reviewing and negotiating commitment letters and term sheets as well as primary loan and security documentation and ancillary deliverables</li><li>Preparation and review of issues lists and summary grids</li><li>Conducting legal research, depending on client needs</li><li>Managing deal teams and processes from initial discussions through closing and post-closing matters</li><li>Managing and conducting due diligence</li><li>Primary point of contact for clients, opposing counsel and other transactional legal teams</li><li>Assisting clients with ongoing deal administration including joinders, amendments, interpretive questions, collateral matters, etc.</li><li>Providing direct assistance to senior lawyers on matters arising in the course of day-to-day provision of legal services to clients</li><li>Attending and presenting educational seminars</li><li>Exercising good judgment in internal and external written and verbal communications</li><li>Mentoring and training of junior team-members and attendance at, and participation in, continuing education classes and client development initiatives</li><li>Salary Range: $310,000 - $420,000<br><br></li></ul><strong>Qualifications<br><br></strong><ul><li>At least four years of debt finance experience</li><li>Preferred experience includes sponsored finance, syndicated lending, acquisition/leveraged finance (either borrower or lender side) and/or direct lending and private credit transactions</li><li>Strong academic record and intellectual curiosity, creative thinker</li><li>Project management experience</li><li>Commercial and business acumen</li><li>Outstanding communication skills</li><li>Strong time management skills, ability to stay calm under pressure when juggling multiple projects and teams</li><li>Excellent drafting skills</li><li>Driven by professional growth</li><li>Client service focus</li><li>Team player</li><li>Strong judgment</li><li>Proactive, resourceful, takes initiative and a self-starter</li><li>Fluency in English required</li><li>Admitted to the bar and in good standing<br><br></li></ul><strong>This role reports to <br><br></strong>Partner<br><br><strong>Equal Opportunities<br><br></strong>White & Case is an Equal Employment Opportunity (EEO) employer and is committed to creating a fair workplace.
